Terms and conditions (private lessons)

1. Provide an overview
a.Expatrium acts as a middleman between the Client and one or more tutors. Tutoring is not a service offered by Expatrium. We are a tutoring  agency that is a party to this agreement.
b. You are the other party to this contract and are referred to as ‘the Client’ in this contract. On behalf of ‘the Student,’ you agree to purchase  tutoring services. ‘The Student’ could be you or someone else. The Student is the person who receives tutoring services from the tutoring sessions. c. By accepting these terms and conditions, the Client agrees to Expatriums presentation of a tutor to you.
d.The Agreement is Terminated or Completed when all of the responsibilities under this contract have been completed or discharged, with the exception of the ongoing undertakings in paragraphs 5c and 5d of this contract. The Agreement will be signed at the end of the final lesson, although it may be signed at any time in accordance with Section 6 of this contract 

2. Overarching 
a.The Client understands that these agreements control the Client’s and Expatriums legal rights and responsibilities. The company Expatrium  maintains the right to change these terms and conditions at any time.
b. No amendment or alteration of these terms by the Client is valid unless Expatrium specifically approves it in writing.

c. The parties submit to the jurisdiction of the Dutch courts, and this agreement is governed by the laws of the Netherlands.

3.Business Relationship
Expatrium introduces Tutors to Clients and vice versa; Expatrium acts as the Tutor’s representative. It also collects money on behalf of the Tutor from the Client, as well as its own charge for administrative and introduction commission. The tutor’s fees and Expatriums own charge are included in the hourly tuition pricing when paid in Credit. Where VAT is applicable, it is applied.

4. An agreement to provide tutoring services with the Tutor
a. A Tutor will be considered to have been introduced to the Client by Expatrium if either the name of the Tutor is provided to the Client by Expatrium in response to the Client’s request for a Tutor, or Expatrium arranges for a Tutor to contact the Client in response to the Client’s request for a Tutor. b. The Client agrees to be bound by these Terms and Conditions, as well as the terms and conditions that govern their relationship with the Tutor, by purchasing Credit from Expatrium.
c. The Client hires the Tutor to provide tuition to the Student. Clients should be informed that the Tutor does not have any authority on Expatrium.

5. Other Arrangements are Prohibited
a. The Client agrees not to negotiate any alternative rates with the Tutor and not to pay the Tutor directly.
b. The Client is not entitled to make any private agreements with any Tutor whom Expatrium has introduced. The Client agrees to pay all Tutors introduced by Expatrium only through Expatrium for all payments.
c. If the Client violates these terms, the Client will be liable to Expatrium for 450 euros in damages, and Expatrium will be entitled to seek damages from the Client.
d. If you recommend one of Expatriums Tutors to another Potential or Actual Client, that Client must contact Expatrium to make payment through the agency.

6. Substitutes and Termination
a. If the Tutor is unable to complete the Course of Tuition, or if the Client requests a replacement Tutor because they are dissatisfied with the original Tutor assigned to them, Expatrium will make every effort to find a replacement Tutor who is knowledgeable about the level and subject for which tuition is required.
b. If the replacement Tutors meet Expatriums criteria for job suitability in terms of subject and level knowledge and are available at the same time or another time that is convenient for both parties.
c. If the Client requests that the contract be terminated before the third lesson, Expatrium will refund a portion of the fees paid by the Client that represents the number of sessions that the Tutor or any replacement Tutor was unable to complete. When the third lesson is completed, the provisions of paragraph 6d will take effect.
d. If the Client wishes to discontinue Tuition in the middle of the course for any reason, no refunds will be given for the remaining sessions taught or any funds pre-paid.
e. If any of the Terms and Conditions are violated by the Student or the Client, Expatrium reserves the right to terminate the Agreement and revoke any remaining Credit.

7. Payment
a. For Credit, the Client may pay by bank transfer.
b. Credit will be billed as a lump sum or in two equal payments over the course of two months. If there are two equal payments, the second payment is due by the end of the second month.
c. On rare occasions, we may allow some clients to pay on a modified payment schedule if Expatrium expressly approves in writing. d. Tuition will not begin until payment for the Credit in question is received.

 8. Responsibilities of the Client
a. In the event of a lesson cancellation within 48 hours of the scheduled lesson time, the Client must notify Expatrium immediately. In this case, the Client may be charged for the scheduled lesson or have the appropriate amount of credit deducted from their account.
b. The Client shall conduct himself/herself in a manner appropriate to the nature of Expatriums services.
c. Without Expatriums express written permission, the Client is strictly prohibited from distributing any material provided by Expatrium or the Tutor.

9. Attribution
a. The Client’s purchased credit will be deducted based on the length of tuition. One credit equals one hour of tuition for the student. The session’s minimum credit expenditure is one credit. The session time can be increased in increments of one credit (60 minutes) or half a credit (30 minutes). b. At the conclusion of the Session, the Student will sign an hour sheet provided by the Tutor to validate the length of tuition. The corresponding amount of Credit will be deducted from the Client’s balance based on this length.
c. The Client is not entitled to any additional tuition beyond that paid for by credit pre-purchasing.
d. If the Student runs out of Credit, additional Credit can be purchased from Expatrium. In this case, the Terms and Conditions are extended to cover additional purchased credit. Credit is only valid for the Student and cannot be transferred or used by anyone else. Sessions may only be attended by the Student and not by anyone else besides the Tutor. Credit is valid for 6 months, beginning on the date of purchase.

10. Liability
a. Expatrium accepts no liability for any claims made by the Client arising from or related to the Tutor’s provision of tutoring services.
b. Expatrium does not exclude liability that cannot be excluded by law, and we especially do not exclude liability for death or personal injury caused by Expatriums negligence.
c. Expatrium will not be liable to the Client or any third party for the Tutor’s act, omission, or error (whether willful, negligent, or otherwise).
d. While Expatrium makes every effort to provide satisfaction to the Client by ensuring reasonable standards of skills, integrity, and reliability from Tutors and further providing them in accordance with the Client’s needs, Expatrium is not liable for any loss, expense, damage, or delay resulting from the Tutor’s negligence, dishonesty, misconduct, accidental or deliberate damage to property during the assignment, or lack of skill. The Client shall indemnify and hold Expatrium harmless for any costs, claims, or liabilities incurred by Expatrium as a result of any Assignment or any breach of these Terms by the Client. f. Expatrium accepts no responsibility for the outcomes of tuition, including, but not limited to, exam and dissertation scores. Expatrium is not responsible for insurance arrangements relating to tutoring services provided by the Tutor, and the Client should be aware of this.

11. Cancellation and Scheduling
a. Clients should be aware that significant preparation is required prior to each session of tuition, in addition to travel time and cost to the Tutor.
b. Cancellation of a scheduled tutoring Session for any reason must be communicated to the Tutor no later than 48 (fourty-eight) hours prior to the scheduled Session. If notice is given more than 48 (forty-eight) hours before the scheduled Session, the Client will not be charged.
c. If notice of cancellation of a scheduled tutoring Session is not given within 48 (fourty-eight) hours of the Session’s start, the Client will be charged the full session fee.
d. The time and date of each Session will be agreed upon by the Student and the Tutor. If the Tutor is unable to meet with the Client on the scheduled date, the Tutor will notify the Client and offer a rescheduled time. The Tutor will make every effort to provide notice of such events at least 24 (twenty-four) hours before the Session. If a Tutor is late for a Session, it is the Tutor’s responsibility to make up the time.
e. If a Student is late for a Session, the Tutor may, but is not required, to work past the scheduled end time. If the Tutor does not complete the Session by the scheduled end time, the Session will be charged at the regular rate. If, at the Client’s request, the Tutor agrees to work past the scheduled end time, the Tutor may choose to charge the Client for the extra time.
f. If the Student or Client chooses to end a Session early (for example, after one hour of a two-hour session), the Session may be charged at the regular price at the discretion of Expatrium and the Tutor.
g. Cancellations by the Client of more than three weeks in a row, or what Expatrium considers unreasonable, regular cancellations, will be considered for immediate contract termination at Expatrium’ discretion.

12. Data Security
The Client agrees not to disclose any confidential information about the Tutor or Expatrium to anyone for the duration of this agreement and for a period of five years after the agreement’s termination, except as required by law, court order, or any governmental or regulatory authority
